NextWave Technologies LLC ("Company", "we", "us") provides IT services including but not limited to Managed IT services (monthly support), Break/fix support, Remote monitoring and management (RMM), Antivirus and endpoint protection, Backup solutions (via third-party providers), Cloud services (e.g., Microsoft 365), Network installation and configuration, Web design services, and Starlink and ISP installations. All services are provided on a best-effort basis and are dependent on third-party systems, infrastructure, and providers.
We do not guarantee uninterrupted service, uptime, or complete security. Service performance may be impacted by Internet service providers (ISPs), Third-party vendors, Hardware or software failures, or Cybersecurity incidents beyond our control
Managed services are provided on a month-to-month basis with payment terms of Net 30. Break/fix services are billed as one-time invoices and are due upon receipt. A late fee of $20 will be applied every seven days past the due date. Services may be suspended after 90 days of non-payment. All payments made to NextWave Technologies LLC are non-refundable.
Clients are responsible for maintaining secure passwords, managing access credentials, and ensuring appropriate use of their systems. Clients are also responsible for the actions of their users, including but not limited to phishing attempts, downloads, and misuse of systems. Unless explicitly stated in a service agreement, clients are responsible for maintaining their own backups. The Company is not responsible for damages resulting from user actions or negligence.
Backup services may be provided through third-party vendors; however, we do not guarantee backup integrity, availability, or successful recovery. Clients are responsible for verifying their backups. To the fullest extent permitted by law, NextWave Technologies LLC is not liable for data loss, cyberattacks, ransomware, business interruption, loss of profits, or third-party outages. Total liability is limited to the amount paid by the client within the previous three months.
Our services rely on third-party providers such as cloud platforms, internet service providers, and security vendors. We are not responsible for failures, outages, or security issues caused by these third parties.
By using our services, clients authorize NextWave Technologies LLC to remotely access systems, monitor devices and networks, and install and manage necessary software agents. This access is required to properly deliver support and services.
Either party may terminate services at any time. Clients are required to provide 30 days’ notice for cancellation of services. We reserve the right to terminate services immediately in cases of non-payment, abuse of services, or security risks.
Clients agree to indemnify and hold harmless NextWave Technologies LLC from any claims, damages, or liabilities arising from misuse of services, violations of law, or user actions within their organization.
These Terms are governed by the laws of the State of Michigan. Any disputes arising from these Terms or services will be handled within the appropriate courts of Michigan.

We utilize trusted third-party providers to deliver our services, including Atera for remote monitoring, SentinelOne for endpoint protection, Microsoft 365 for cloud services, and Barracuda Networks for backup solutions. These providers may process data as necessary to support service delivery.
